4. Client Responsibilities

Clients are responsible for:

Reviewing deliverables and providing feedback within reasonable timeframes.
Obtaining licenses for third-party software, plugins, or services unless otherwise agreed.
Ensuring all provided materials do not violate any applicable laws or third-party rights.

Project delays caused by incomplete information or delayed approvals may affect delivery timelines.

5. Pricing & Payments

Project pricing will be communicated through official quotations or contracts.

Unless otherwise agreed:

Payments are due according to the agreed payment schedule.
Deposits are generally non-refundable once project work has commenced.
Late payments may result in project suspension until outstanding balances are cleared.
Taxes, transaction fees, or government charges, where applicable, remain the client's responsibility.

6. Revisions

Reasonable revisions are included as specified in the project agreement.

Requests beyond the agreed revision limit or outside the approved project scope may incur additional charges.

7. Intellectual Property

Upon full payment, ownership of the final deliverables will transfer to the client unless otherwise stated in the project agreement.

Softic Solution retains ownership of:

Internal development frameworks
Reusable source code
Proprietary libraries
Development tools
Methodologies
Templates
Pre-existing intellectual property

We reserve the right to reuse general knowledge, experience, and non-confidential techniques acquired during project development.

8. Confidentiality

We respect the confidentiality of client information and will take reasonable measures to protect sensitive business data.

Both parties agree not to disclose confidential information to unauthorized third parties except where required by law.

9. Third-Party Services

Projects may involve third-party platforms, APIs, hosting providers, cloud services, payment gateways, or software vendors.

Softic Solution is not responsible for:

Changes made by third-party providers
Service outages
Pricing changes
API limitations
Platform restrictions
Security incidents originating from third-party services

Clients remain responsible for complying with the terms of any third-party services they choose to use

10. Project Delivery

Estimated timelines are provided in good faith and may vary depending on:

Project complexity
Client feedback
Scope changes
Third-party dependencies
Technical challenges

We will make reasonable efforts to deliver projects within agreed schedules but cannot guarantee delivery dates in every circumstance.

11. Support & Maintenance

Post-launch support or maintenance services are provided only if included in the project agreement or covered under a separate maintenance contract.

Support does not include feature enhancements or major redesigns unless specifically agreed.

12. Warranties

We strive to deliver high-quality solutions that meet agreed specifications.

However, all services and website content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

We do not guarantee:

Continuous availability of services
Error-free operation
Compatibility with every third-party platform
Uninterrupted website access

13. Limitation of Liability

To the fullest extent permitted by law, Softic Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to

Loss of profits
Business interruption
Loss of data
Revenue loss
Reputation damage
Opportunity costs

Our maximum liability shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

14. Cancellation & Termination

Either party may terminate a project in accordance with the agreed contract.

Upon termination:

Completed work shall remain payable.
Outstanding invoices become immediately due.
Work already completed will be delivered once applicable payments have been received.
Deposits and work already performed are generally non-refundable.

15. Website Use

You agree not to:

Use our website for unlawful purposes.
Attempt unauthorized access to our systems.
Introduce malware or malicious software.
Interfere with website functionality.
Copy, reproduce, or distribute website content without written permission.

Violation of these terms may result in restricted access and legal action where appropriate.
